Following today’s notice published by the Autorité des marchés financiers (AMF) on the results of the buy-out offer for Gfi Informatique’s shares which was opened between 29 November 2018 and 12 December 2018 included, Mannai Corporation announces that it acquired through the buy-out offer 604,539 shares at a price of EUR 10.50 per share.
The squeeze-out of the remaining Gfi Informatique shares not held by Mannai Corporation was implemented today and the shares were transferred to Mannai Corporation for the same consideration as the consideration of the buy-out offer, i.e., EUR 10.50 per share (net of all costs), it being specified that the 70,030 treasury shares and the 272,244 free shares which are subject to liquidity agreements between Mannai Corporation and their beneficiaries were excluded from the squeeze-out.
As a result of the squeeze-out, Gfi Informatique’s shares are no longer listed on the regulated market of Euronext Paris.
In accordance with the AMF’s general regulation, CACEIS Corporate Trust is in charge of the centralization of the squeezeout. The funds relating to the compensation of the Gfi Informatique shareholders which would not have been paid following the squeeze-out will be kept by CACEIS Corporate Trust for a ten-year period following the implementation date of the squeeze-out. After this period, the funds not delivered will be transferred to the Caisse des Dépôts et Consignations. These funds may be claimed by beneficiaries subject to the thirty-year period after which they will benefit to the French State.
